Snagger Agreement
DRAFT: not legal advice. Have a UAE-licensed lawyer review before launch.
Between [SnagGO legal entity] ("SnagGO") and the inspection business accepting this agreement in the app ("Snagger").
1. Eligibility and Onboarding
1.1 Snagger must hold a valid UAE trade license covering property inspection or similar activity, and keep it valid. Upload: trade license, Emirates ID of the responsible person, professional indemnity insurance certificate, and any other documents requested.
1.2 SnagGO may approve, reject, suspend or remove a Snagger at its discretion. License and insurance expiry dates are tracked; expired documents result in automatic suspension.
2. Independent Contractor
Snagger is an independent business, not an employee, partner or agent of SnagGO. Snagger is responsible for its own staff, tools, taxes, VAT registration, visas and permits.
3. Professional Indemnity Insurance
3.1 Snagger must maintain professional indemnity insurance with a minimum limit of AED [____] per claim for the whole time on the platform, and provide proof on request.
3.2 Snagger is solely responsible for the quality, accuracy and completeness of every inspection and report, and for any claim, loss or damage arising from it.
3.3 Snagger indemnifies and holds harmless SnagGO, its owners and staff from any claim, loss, cost or legal fee brought by a Customer or third party arising from the Snagger's services, acts or omissions, and agrees that such claims are to be handled by Snagger and its insurer.
4. Service Standards
Use the SnagGO checklist and tools; attend on time; photograph every defect; deliver the report within [24] hours of inspection; act professionally and respect the Customer's property and privacy.
4A. Job Assignment
SnagGO assigns jobs: customers do not choose a Snagger. You may accept or decline a request in the app. Accepting a request confirms the booking for the customer. Once accepted, attend at the booked date and time. Customers pay one all-inclusive price that includes your inspection, the report, handover of the report to the developer system, and one free 2nd visit within 60 days.
4B. Photos, Defects and Reports
For every defect you record, you must attach a photo taken at the inspection. Photos form part of the PDF report and may be shown to the customer and the developer's handover team. The report carries the SnagGO logo, the unit number, and the date and time of the inspection.
4C. Free 2nd Visit (Rectification Check)
If the customer books the free 2nd visit within 60 days of the report, you re-check each defect listed in the original report and mark it Fixed or Not fixed. The 2nd visit is part of the original job: [no separate payout / a rectification fee of AED ___ to be agreed].
5. Fees, Commission and Payouts
5.1 Customer prices follow the SnagGO price table (one all-inclusive price per property type and size). SnagGO retains a 20% commission on each booking (excluding VAT), and pays payment-gateway fees out of that commission.
5.2 Funds are released to Snagger after report delivery and the Customer's dispute window ([48] hours), then paid by bank transfer to the IBAN provided.
5.3 Refunds or re-inspections ordered under the Customer Terms are borne by the Snagger where caused by its fault.
6. No Circumvention
Snagger will not take bookings introduced through SnagGO outside the platform for [12] months after first contact.
7. Data and Confidentiality
You receive the customer's name, mobile and unit details only to perform the job, and may contact them by phone or WhatsApp about it. Use Customer data and property photos only to perform the inspection. Comply with the PDPL (Federal Decree-Law 45 of 2021).
8. Liability of SnagGO
To the maximum extent permitted by UAE law, SnagGO is only a technology and payment marketplace and is not liable to Snagger for lost bookings, income or platform downtime.
9. Termination
Either party may terminate on [7] days' notice; SnagGO may terminate immediately for breach, fraud, expired documents or serious complaints. Open bookings are completed or reassigned.
10. Governing Law
UAE law; courts of [Dubai].
